1. Who we are
1.1. These Donation Terms (the "Terms") govern voluntary donations made to Carrot Fndn, a foundation (Stiftung) established under Articles 80 et seqq. of the Swiss Civil Code, registered with the Commercial Register of the Canton of Zug under UID CHE-152.448.302, with registered seat at c/o Sielva Management SA, Gubelstrasse 11, 6300 Zug, Switzerland (the "Foundation", "we", "us").
1.2. The Foundation's purpose is to develop and promote the Carrot Protocol and related open, decentralized technologies fostering a sustainable, waste-free society, as set out in its foundation deed of 10 October 2023. Donations support this purpose.
2. Scope — donations are not purchases
2.1. These Terms apply exclusively to voluntary donations made through the Foundation's donation page or other donation channels the Foundation designates.
2.2. Donations are separate and distinct from purchases of Environmental Credits. The purchase of Recycling Credits (TRC) or Carbon Credits (TCC) is governed exclusively by the Terms and Conditions of Sale of Environmental Credits and is not a donation; a donation under these Terms does not entitle the donor to any Credit. If you intend to acquire Credits, do not use the donation flow.
3. Nature of the donation
3.1. A donation under these Terms is a voluntary, gratuitous and unconditional contribution to the Foundation. The donor receives no goods, services, Environmental Credits, tokens, rewards, governance or participation rights, or any other consideration in return.
3.2. Donations are unrestricted: they become part of the Foundation's assets and are applied to the Foundation's statutory purpose at the Foundation Council's discretion.
3.3. The donation is made under Swiss law as a gift (Schenkung) within the meaning of Article 239 et seqq. of the Swiss Code of Obligations, accepted by the Foundation upon settlement of the funds.
4. No tax deductibility
4.1. The Foundation is a Swiss foundation. It is not a tax-exempt organization under Section 501(c)(3) of the United States Internal Revenue Code, and donations are not tax-deductible in the United States.
4.2. The Foundation makes no representation that a donation is tax-deductible in Switzerland or in any other jurisdiction. Any acknowledgment or receipt we issue confirms the contribution only and is not a tax receipt.
4.3. Donors are solely responsible for determining the tax treatment of their donation in their own jurisdiction and for any taxes, duties or reporting obligations arising from it.
5. Making a donation; payment processing
5.1. Donations may be made by the payment methods and in the currencies offered at checkout, processed by third-party payment service providers engaged by the Foundation (currently Stripe). The payment provider's own terms and privacy policy apply to the processing of the payment.
5.2. Where offered, donations may be one-time or recurring. Recurring donations are charged at the interval selected at checkout and may be cancelled by the donor at any time with effect for future charges, through the link provided in the confirmation e-mail or by contacting us at support@carrot.eco.
5.3. The donation is completed when the funds settle in the Foundation's bank account. Amounts received are recorded as donation income of the Foundation, net of payment-processing fees charged by the payment provider.
5.4. The Foundation may set minimum or maximum donation amounts at checkout.
6. Donation receipt
6.1. Upon settlement, the Foundation will issue an electronic donation acknowledgment to the e-mail address provided at checkout, stating the donor's name, the date, the amount and currency of the donation, and confirming that no consideration was provided in return.
6.2. The acknowledgment is a confirmation of contribution only. It has no tax value (Section 4).
7. Refunds
7.1. Donations are final and non-refundable, except where: (a) the charge resulted from a processing error or duplication; (b) the transaction was unauthorized or fraudulent; or (c) the Foundation, at its sole discretion, decides to return a donation under Section 8.
7.2. Refund requests under 7.1(a) or (b) must be sent to support@carrot.eco within 30 days of the charge. Approved refunds are made through the original payment method.
8. Compliance; right to refuse or return
8.1. The Foundation may refuse, decline to process, or return any donation, in whole or in part, at its sole discretion — including where the donation raises anti-money-laundering, sanctions, fraud, legal or reputational concerns, or where required by its bank or payment providers.
8.2. Donations of CHF 10,000 or more (or equivalent), and any donation flagged by our providers, may be subject to enhanced verification before acceptance. The Foundation may request identification documents and information on the origin of funds and may return the donation if such information is not provided.
8.3. By donating, the donor represents and warrants that: (a) they are at least 18 years old and have full legal capacity; (b) the funds are their own and of lawful origin; (c) they are not subject to sanctions administered by Switzerland (SECO), the UN, the EU, the US (OFAC) or the UK; and (d) if donating on behalf of a legal entity, they are duly authorized to bind that entity.
8.4. Anonymous donations are not accepted: the Foundation must be able to identify the donor. The Foundation does not publicly disclose donor identities or amounts without the donor's consent.
9. Data protection
9.1. Personal data provided in connection with a donation is processed in accordance with the Foundation's Privacy Policy, in compliance with the Swiss Federal Act on Data Protection (revFADP/revDSG) and, where applicable, the GDPR and the LGPD.
10. General
10.1. The Foundation may amend these Terms at any time with effect for future donations; the version in force at the time of the donation applies. The Terms are published in the Legal section of docs.carrot.eco.
10.2. If any provision of these Terms is held invalid, the remaining provisions remain in effect.
10.3. These Terms and any donation made under them are governed by substantive Swiss law, excluding its conflict-of-law rules. Exclusive place of jurisdiction is Zug, Switzerland, subject to mandatory statutory venues.
